These Terms of Service (“Terms”) govern your access to and use of the WiredPB website, mobile applications, software, and related services (collectively, the “Services”) provided by WiredPB LLC (“WiredPB,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not use the Services.
1. About WiredPB
WiredPB provides software designed to help paintball players, teams, coaches, and organizations manage activities such as:
- Team rosters
- Practices
- Events and tournaments
- Attendance and availability
- Team communications
- Player dues and payments
- Tryouts
- Travel and lodging coordination
- Team and organization administration
- Player, coach, team, and organization profiles
- Other team-management functions
WiredPB provides software and technology services.
Unless specifically stated otherwise, WiredPB does not own, operate, manage, coach, sanction, supervise, or control the teams, organizations, fields, tournaments, practices, tryouts, events, hotels, transportation providers, or other activities that may be listed, organized, or managed using the Services.
2. Eligibility
You must be at least 13 years old to independently create a WiredPB account.
If you are under the age of majority where you live, you may use WiredPB only with the permission and involvement of a parent or legal guardian where required by law.
Children under 13 may not independently create or operate a WiredPB account unless WiredPB expressly provides an account or consent process designed for such users.
If you are using WiredPB on behalf of a business, team, organization, club, or other entity, you represent that you have authority to bind that entity to these Terms.
3. Accounts
Certain features require a WiredPB account.
You agree to:
- Provide accurate and current information
- Keep your account information updated
- Maintain the security of your login credentials
- Not share credentials in a way that compromises account security
- Notify us promptly if you believe your account has been accessed without authorization
- Accept responsibility for activity conducted through your account to the extent permitted by law
You may not impersonate another person or entity or create an account using information you are not authorized to use.
We may require additional verification for certain account types, administrative roles, payments, or other features.
4. Team and Organization Accounts
WiredPB allows users to create and manage teams and organizations.
Team and organization administrators may have additional permissions, including the ability to:
- Invite or remove members
- Manage rosters
- Assign roles
- Record attendance
- Create events
- Manage dues
- Communicate with members
- Review tryout applicants
- Manage team settings
- Access certain information relating to team members
You understand that information you provide to a team or organization may be accessible to authorized administrators of that team or organization.
WiredPB does not determine who should serve as a team administrator and generally does not resolve internal disputes involving:
- Team ownership
- Coaching decisions
- Player selection
- Playing time
- Tryout decisions
- Roster placement
- Dues
- Team discipline
- Team leadership
- Organizational control
We may, however, take reasonable actions involving accounts or permissions where necessary to protect users, enforce these Terms, address fraud, comply with law, or maintain the integrity of the Services.
5. Team Administrators
If you create or administer a team or organization, you are responsible for ensuring that you have appropriate authority to collect, enter, upload, or manage information concerning your members.
Administrators are responsible for their use of player information and must comply with applicable laws, organizational policies, and parental or guardian requirements concerning minors.
Administrators may not use WiredPB to collect information they do not reasonably need for legitimate team or organizational purposes.
6. Subscriptions and Paid Plans
Some WiredPB features may require a paid subscription.
Available plans, features, pricing, and billing periods will be presented before purchase and may change from time to time.
Unless otherwise stated at the time of purchase, paid subscriptions automatically renew at the end of each billing period until canceled.
By purchasing a recurring subscription, you authorize WiredPB and its payment providers to charge the applicable subscription fee and any applicable taxes using your selected payment method.
You may cancel a subscription through the account or billing settings made available by WiredPB.
Cancellation stops future renewals but generally does not retroactively refund charges already incurred.
Where required by applicable law, WiredPB may provide additional notices before certain subscription renewals or pricing changes.
7. Pricing Changes
We may change subscription prices in the future.
Price changes will not retroactively affect amounts already paid.
For recurring subscriptions, material price changes will take effect for a future billing period after any notice required by applicable law.
If you do not agree to a new price, you may cancel your subscription before the new price takes effect.
8. Free Plans and Trials
WiredPB may offer free plans, promotional periods, or free trials.
We may change the features or limits included in a free plan at any time.
If a free or discounted trial automatically converts to a paid subscription, the applicable pricing and renewal terms will be disclosed when you begin the trial.
Promotional offers may be subject to additional restrictions or eligibility requirements.
9. Subscription Refunds
Except where required by law or expressly stated otherwise at the time of purchase, WiredPB subscription fees are non-refundable.
If you cancel a subscription, you may generally continue using the applicable paid features until the end of the billing period for which you have already paid.
This section applies to fees paid directly to WiredPB for use of the WiredPB software.
It does not necessarily apply to payments collected by independent teams or organizations through WiredPB.
10. Team Dues, Fees, and Other Payments
WiredPB may allow teams and organizations to collect money from players or other users.
These payments may include:
- Team dues
- Tournament fees
- Practice fees
- Registration fees
- Event costs
- Seasonal fees
- Annual fees
- One-time assessments
- Other team-related charges
Payments may be processed using Stripe or another third-party payment provider.
Unless WiredPB expressly identifies itself as the seller or merchant for a particular transaction, the team or organization requesting the payment is responsible for the underlying charge, including:
- Determining the amount charged
- Explaining what the payment covers
- Establishing refund policies
- Providing any goods or services promised
- Resolving disputes relating to team charges
- Handling applicable taxes and financial obligations
WiredPB provides technology that facilitates these transactions but is not responsible for whether a team properly uses funds it collects.
Users should contact the applicable team or organization regarding a refund or dispute concerning a team charge.
11. Stripe and Connected Accounts
Certain payment functionality may be provided through Stripe Connect.
Teams or organizations that activate payment functionality may be required to create or connect a Stripe account and agree to Stripe’s applicable agreements.
By activating Stripe-connected payment functionality through WiredPB, you agree to comply with the applicable Stripe terms, including the Stripe Connected Account Agreement and incorporated Stripe Services Agreement where applicable.
Stripe may require information to verify the identity of individuals or businesses using payment functionality.
WiredPB does not control Stripe’s verification requirements, payment processing decisions, payout schedules, account restrictions, reserves, or other actions Stripe may take under its agreements.
12. Chargebacks and Payment Disputes
Payment transactions may be subject to disputes, reversals, chargebacks, refunds, processing fees, or other payment adjustments.
Teams and organizations using payment functionality are responsible for responding to payment disputes where applicable and for maintaining appropriate records supporting charges they collect.
Depending on the payment configuration and applicable agreements, Stripe, WiredPB, or a connected account may deduct disputed or refunded amounts and related fees from available balances or future payments.
WiredPB may restrict payment functionality where we reasonably believe an account presents excessive fraud, dispute, regulatory, or financial risk.
13. Team Chat and Communications
WiredPB may provide messaging or team-chat functionality.
You are responsible for content you send through these features.
You may not use WiredPB communications to:
- Threaten or harass others
- Send unlawful content
- Distribute spam
- Commit fraud
- Share another person’s private information without authorization
- Distribute malicious software
- Promote or facilitate unlawful activity
- Exploit or endanger minors
Team administrators may have certain moderation capabilities.
Every user can report an individual message and can block another user, which hides that user’s messages everywhere in WiredPB chat. WiredPB has no tolerance for objectionable content or abusive users and reviews and acts on reports within 24 hours. These tools and that commitment are described in our End User License Agreement.
WiredPB may investigate reported content and may remove content or restrict accounts when reasonably necessary to enforce these Terms, protect users, or comply with law.
WiredPB does not guarantee that every message will be reviewed or moderated.
14. Tryouts and Recruiting
WiredPB may allow teams and organizations to create tryout listings and allow players to submit tryout applications.
WiredPB does not:
- Guarantee selection for a team
- Make roster decisions
- Evaluate players
- Endorse particular teams
- Guarantee the accuracy of tryout listings
- Guarantee that a tryout will occur
- Guarantee the safety or quality of a tryout
The team or organization conducting the tryout is solely responsible for managing the tryout, evaluating applicants, communicating requirements, and making roster decisions.
15. Events, Practices, and Tournaments
WiredPB may display or allow users to create information relating to paintball events, practices, tournaments, venues, schedules, or other activities.
Information may come from team administrators, third parties, publicly available sources, or external services.
Schedules, addresses, event details, eligibility requirements, pricing, and other information may change.
Users are responsible for verifying important event information with the applicable organizer before relying on it.
WiredPB is not responsible for canceled events, schedule changes, venue changes, tournament rulings, registration eligibility, or decisions made by independent event organizers.
16. Paintball Activities and Assumption of Risk
Paintball and related athletic activities involve inherent risks of injury.
WiredPB provides software and does not supervise physical paintball activities.
Participation in any practice, tournament, tryout, event, travel activity, or other physical activity listed or coordinated through WiredPB is voluntary and occurs independently of WiredPB.
Teams, players, parents, coaches, event organizers, fields, and organizations are responsible for matters such as:
- Player safety
- Protective equipment
- Medical clearance
- Insurance
- Waivers
- Field rules
- Coaching
- Supervision
- Transportation
- Appropriate participation by minors
To the fullest extent permitted by law, WiredPB is not responsible for injuries, accidents, property damage, or other losses arising from participation in physical activities merely because those activities were scheduled, discussed, or managed using the Services.
17. Travel, Hotels, and Transportation
WiredPB may provide features that help teams coordinate:
- Hotels
- Lodging
- Carpools
- Rides
- Travel plans
- Arrival or departure information
WiredPB is not a hotel, travel agency, transportation company, rideshare provider, or travel operator unless expressly stated otherwise.
Any booking or transportation arrangement is between the users and applicable third-party providers.
Users are responsible for evaluating transportation arrangements and deciding whether they are safe and appropriate.
18. Third-Party Information and Integrations
WiredPB may display or use information obtained from third parties or integrate with third-party services.
These may include payment processors, maps, location providers, tournament services, authentication providers, analytics providers, or other technology companies.
Third-party services are governed by their own terms and privacy policies.
WiredPB does not guarantee that third-party data will always be accurate, complete, or available.
19. User Content
You may be able to submit content to WiredPB, including:
- Profile information
- Photos
- Team logos
- Messages
- Event information
- Tryout information
- Team descriptions
- Organization information
- Comments
- Other materials
You retain ownership of content that you own.
By submitting content to WiredPB, you grant WiredPB a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use that content as reasonably necessary to:
- Provide the Services
- Display content according to your account and privacy settings
- Operate WiredPB
- Maintain and improve the Services
- Protect the security and integrity of WiredPB
This license does not give WiredPB ownership of your content.
It ends when the content is deleted from our systems, subject to reasonable backup, legal, security, or retention requirements.
20. Public Content
Certain features may allow information to be publicly visible.
For example, public information may include:
- Team profiles
- Organization profiles
- Player profiles
- Coach profiles
- Team logos
- Tryout listings
- Event listings
- Public statistics or accomplishments
If you publish information publicly, you understand that it may be viewed, copied, shared, or indexed by search engines.
Do not publish information you are not authorized to make public.
21. Content Representations
You represent that you have the rights and permissions necessary to submit content to WiredPB.
You may not upload content that:
- Violates intellectual-property rights
- Violates privacy or publicity rights
- Is fraudulent or intentionally misleading
- Is unlawful
- Contains malicious software
- Contains sexually exploitative material involving minors
- Encourages violence or criminal activity
- Impersonates another person or organization
We may remove content that violates these Terms.
22. Intellectual Property
WiredPB and its software, branding, design, logos, interfaces, technology, and original content are owned by WiredPB LLC or its licensors and are protected by applicable intellectual-property laws.
Except as expressly permitted through the Services, you may not:
- Copy WiredPB software
- Reverse engineer the Services except where prohibited from restricting such activity by law
- Sell or sublicense access to the Services
- Scrape the Services in a manner that causes excessive load or circumvents technical restrictions
- Remove proprietary notices
- Use WiredPB trademarks without authorization
- Use the Services to create a substantially competing service through unauthorized access to WiredPB systems or proprietary information
23. Acceptable Use
You may not use WiredPB to:
- Violate applicable law
- Commit fraud
- Harass or threaten another person
- Exploit minors
- Distribute malware
- Attempt unauthorized access to accounts or systems
- Circumvent access restrictions
- Interfere with the operation of WiredPB
- Conduct automated activity that materially harms the Services
- Falsify payment information
- Abuse payment or refund systems
- Create deceptive accounts
- Collect personal information for unauthorized purposes
We may restrict or terminate accounts involved in prohibited activity.
24. Account Suspension and Termination
You may stop using WiredPB at any time.
Where available, you may delete your account through account settings or request deletion using the method described in our Privacy Policy.
We may suspend, restrict, or terminate access to WiredPB if we reasonably believe:
- You violated these Terms
- Your account presents a security risk
- Your account is involved in fraud or abuse
- Your use creates legal or regulatory risk
- Payment obligations remain unpaid
- Suspension is necessary to protect other users or WiredPB
- We are required to do so by law
Where reasonable, we may provide notice or an opportunity to resolve the issue before termination.
Serious violations may result in immediate suspension or termination.
25. Effect of Termination
Following account termination, your right to use the Services ends.
Certain provisions of these Terms that reasonably should survive termination will continue to apply, including provisions relating to intellectual property, payment obligations, disclaimers, liability limitations, indemnification, and dispute resolution.
26. Service Availability
We work to keep WiredPB reliable, but we do not guarantee uninterrupted availability.
The Services may occasionally be unavailable because of:
- Maintenance
- Software updates
- Infrastructure failures
- Third-party outages
- Internet failures
- Security incidents
- Events outside our reasonable control
We may modify, discontinue, or replace features over time.
We are not obligated to maintain any particular feature indefinitely unless separately agreed in writing.
27. Beta and Experimental Features
WiredPB may make experimental, preview, or beta functionality available.
These features may be incomplete, change substantially, or be discontinued.
Beta functionality is provided without guarantees regarding reliability, availability, or future release.
28. Privacy
Our collection and use of personal information is described in the WiredPB Privacy Policy.
By using WiredPB, you acknowledge that you have reviewed the Privacy Policy.
29. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIREDPB AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WIREDPB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- THE SERVICES WILL ALWAYS BE AVAILABLE
- THE SERVICES WILL BE ERROR-FREE
- ALL DATA WILL ALWAYS BE ACCURATE
- THIRD-PARTY INFORMATION WILL BE ACCURATE
- EVERY SECURITY THREAT CAN BE PREVENTED
- USING WIREDPB WILL IMPROVE TEAM PERFORMANCE OR RESULTS
- A TEAM, PLAYER, COACH, EVENT, TRYOUT, OR ORGANIZATION WILL MEET YOUR EXPECTATIONS
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
30. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIREDPB LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING FROM OR RELATING TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIREDPB’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID DIRECTLY TO WIREDPB FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- $100.
These limitations apply regardless of the legal theory involved.
Some jurisdictions do not permit certain limitations of liability, so these limitations may apply only to the extent permitted by applicable law.
31. Indemnification
To the extent permitted by law, if you use WiredPB on behalf of a team, organization, or business, you agree to defend, indemnify, and hold harmless WiredPB LLC and its affiliates, members, officers, employees, and agents from claims, damages, liabilities, losses, and reasonable expenses arising from:
- Your violation of these Terms
- Your unlawful use of the Services
- Content you submit
- Your team’s or organization’s collection or use of member information
- Charges or services offered by your team or organization
- Your infringement of another person’s rights
This obligation does not apply to the extent a claim results from WiredPB’s own unlawful conduct where indemnification is prohibited by law.
32. Disputes Between Users
WiredPB is not responsible for resolving disputes between users, teams, coaches, players, parents, or organizations.
We may choose to assist with a dispute but are not required to act as an arbitrator or decision-maker.
Nothing in these Terms prevents WiredPB from taking action necessary to enforce platform rules or protect the integrity of the Services.
33. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except where applicable law requires otherwise.
34. Venue
Unless applicable law provides otherwise, any legal proceeding arising from or relating to these Terms or the Services must be brought in a state or federal court having jurisdiction in Clark County, Nevada.
You and WiredPB consent to the jurisdiction and venue of those courts.
35. Changes to These Terms
We may modify these Terms from time to time.
If we make material changes, we may provide notice by:
- Posting updated Terms
- Providing notice through WiredPB
- Sending an email
- Using another reasonable method
The “Last Updated” date above indicates when the Terms were most recently revised.
Where required by law, we will obtain additional consent before applying material changes.
36. Changes to the Services
WiredPB is an evolving product.
We may add, modify, limit, or discontinue features, integrations, plans, or functionality.
Where a change materially affects a paid subscription, we will provide notice where reasonably appropriate or required by law.
37. Assignment
You may not transfer your rights or obligations under these Terms without our written consent.
WiredPB may transfer these Terms in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, or similar transaction.
38. Severability
If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent legally permissible, and the remaining provisions will remain in effect.
39. No Waiver
If WiredPB does not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.
40. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms expressly applicable to a particular WiredPB service, constitute the agreement between you and WiredPB concerning your use of the Services.
